- "Services" refers to all services provided by Moji Studio including web design, development, branding, and related services
- "Deliverables" refers to the final products or services agreed upon in a project
- "Agreement" refers to the contract between Moji Studio and the Client
3. Services
3.1 Scope of Services
Moji Studio provides website design and development, branding, AI integration, and related digital services. The specific scope of work will be outlined in a separate project proposal or statement of work.
3.2 Service Packages
We offer various service packages (Quick Start Site, Business Build, Complete Web System) as detailed on our website. Specific features and deliverables will be confirmed in writing before project commencement.
4. Client Responsibilities
The Client agrees to:
- Provide all necessary content, materials, and information in a timely manner
- Respond to requests for feedback and approvals within agreed timeframes
- Ensure all provided content does not infringe on third-party rights
- Have the necessary authority to enter into this agreement
- Provide accurate and complete information
- Make timely payments as agreed
5. Payment Terms
5.1 Pricing
Pricing for our services will be agreed upon before project commencement. All prices are in GBP (£) unless otherwise stated and exclude VAT.
5.2 Payment Schedule
Unless otherwise agreed, payment terms are typically:
- 50% deposit before work commences
- 50% upon completion and before final delivery
5.3 Late Payments
Invoices are due within 14 days unless otherwise agreed. Late payments may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6. Project Timeline
Project timelines will be estimated in good faith but are not guaranteed. Delays caused by late client feedback, content provision, or third-party services are not the responsibility of Moji Studio and may result in timeline extensions.
7. Intellectual Property Rights
7.1 Client Content
You retain all rights to content you provide. By providing content, you grant us a license to use, modify, and reproduce it for the purposes of delivering our services.
7.2 Deliverables
Upon full payment, you will own the final deliverables created specifically for your project. However, we retain rights to:
- Pre-existing materials and templates
- General methodologies and processes
- Use the work in our portfolio and marketing materials
7.3 Third-Party Components
Final deliverables may include third-party components (fonts, images, plugins, frameworks) which are subject to their own licenses.
8. Revisions and Changes
Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions or changes outside the agreed scope may incur additional charges.
Significant changes to project scope after commencement will require a new agreement and may affect pricing and timelines.
9. Termination
9.1 Termination by Client
You may terminate the project at any time by providing written notice. You will be invoiced for all work completed up to the termination date, and any deposits paid are non-refundable.
9.2 Termination by Moji Studio
We may terminate the agreement if you breach these Terms, fail to make payments, or fail to provide necessary materials or feedback for more than 30 days.
10. Warranties and Disclaimers
10.1 Our Warranties
We warrant that:
- Services will be performed with reasonable skill and care
- Work will be substantially as described in the agreement
- We have the right to provide the services
10.2 Client Warranties
You warrant that:
- You have rights to all content you provide
- Your content does not infringe third-party rights
- You have authority to enter this agreement
10.3 Disclaimer
Except as expressly stated, we make no warranties, express or implied. We do not guarantee specific results, search engine rankings, or traffic levels.
11. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability shall not exceed the total fees paid by you for the specific project
- We are not liable for indirect, consequential, or incidental damages
- We are not liable for losses caused by factors outside our reasonable control
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
12. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the project, except where disclosure is required by law or necessary to perform the services.
13. Third-Party Services
We may use or recommend third-party services (hosting, plugins, APIs). While we select reputable providers, we are not responsible for their performance, security, or availability. You may need to enter into separate agreements with these providers.
14. Support and Maintenance
Unless a separate support or care plan is purchased, we provide limited post-launch support. Details of ongoing support will be outlined in your project agreement or care plan documentation.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
16. General Provisions
16.1 Entire Agreement
These Terms, together with any project proposals or agreements, constitute the entire agreement between us.
16.2 Amendments
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the new Terms.
16.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
16.4 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
